Litigation Practice

Our more than 20 years of litigation experience covers a broad range of commercial and business litigation matters.  We have handled breach of contract cases, partnership and shareholder disputes, breach of fiduciary duty claims, securities-related litigation, director and officer liability suits, claims involving fraud and unfair business practices, class actions, bankruptcy-related litigation, and successions matters.  We have litigated cases in federal, state, and bankruptcy courts both in Louisiana and throughout the country.  We have also represented clients in mediation and arbitration proceedings.


Representative Matters:


  • As lead trial counsel, secured a $1 million jury verdict in a breach of contract dispute relating to unpaid waste collection services.
  • Served as lead trial counsel in a federal employment case involving claims of pregnancy discrimination, disability discrimination, and wrongful eviction.
  • Serving as co-counsel in a class action in federal court on behalf of a nationwide class of used car dealers against their financing company for interest charged on their floorplans.
  • Represented employee in federal suit for unpaid overtime under the Fair Labor Standards Act.
  • Represented a broker dealer in federal court and a FINRA arbitration proceeding brought by the beneficiaries of a trust.
  • Litigated in federal court on behalf of the City of New Orleans, Louisiana, against their underwriter and remarketing agent, UBS Securities, Inc., for claims arising from the issuance of variable rate demand obligations.
  • Litigated a breach of fiduciary duty claim in Louisiana state court against the former officers and directors of a bankrupt fine arts auction company.
  • Defended former officer and director of bankrupt national chain of sandwich shops in cases in Louisiana federal and bankruptcy courts.
  • Tried to judgment a lender liability case in Florida state court on behalf of a real estate development company against a hedge fund lender and its partner.
Business Practice

On the business transactional side of our practice, our experience includes preparing initial business formation documents and operating agreements, negotiating and drafting contracts such as nondisclosure agreements, fee agreements, purchase and sale agreements, and negotiating and drafting commercial leases.  We enjoy working with entrepreneurs and established businesses to address their varying legal needs.



Representative Matters:


  • Represented client with respect to a series of related agreements arising out of the sale of business interests, including a buy-sell agreement, an asset purchase agreement, and a membership purchase agreement.
  • Handled the formation of several entities for a new business venture and drafted and negotiated a series of agreements related to that venture, including a non-disclosure agreement, fee agreement, and membership interest purchase and sale agreement.
  • Prepared a letter agreement and common unit repurchase agreement on behalf of minority investors in a limited liability company.
  • Drafted and negotiated a long-term commercial lease between a hotel and a new restaurant tenant.
  • Assisted clients with the formation of Delaware LLCs and preparation of operating agreements for the LLCs.
